Terms of Service

Welcome to Picazo. These Terms of Service (“Terms”) govern your access to and use of picazo.io, the Picazo editor, and any related services (collectively, the “Service”). By using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

1. Who can use Picazo

You must be at least 13 years old (16 if you’re in the European Economic Area) to use Picazo. If you’re using Picazo on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Your account

Most of Picazo works without an account. You only need to sign in to save designs, sync across devices, or access paid features. You’re responsible for keeping your account credentials secure and for all activity that happens under your account. If you suspect unauthorized access, notify us immediately.

3. Your content

You own what you create. Any images, designs, text, or other content you upload or create in Picazo (“Your Content”) remain yours. We claim no ownership over them.

License you grant us. To operate the Service, you grant Picazo a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and display Your Content solely for the purpose of providing the Service to you. This license ends when you delete Your Content or close your account.

We don’t train AI on your content. We do not use Your Content to train machine learning models, and we require our AI providers (Replicate, OpenAI, and others) to do the same.

You’re responsible for Your Content. You represent that you own or have the rights to use everything you upload, and that Your Content does not violate anyone else’s rights (including copyright, trademark, privacy, or publicity rights) or any applicable law.

4. Acceptable use

You agree not to use Picazo to:

  • Violate any law or infringe anyone’s rights
  • Create, upload, or distribute content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or promotes violence
  • Generate deepfakes, impersonations, or other content designed to deceive or harm real people
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service (except as permitted by law)
  • Use automated means (bots, scrapers) to access the Service at scale
  • Interfere with the Service, bypass rate limits, or attempt to gain unauthorized access to other accounts or data
  • Resell or sublicense the Service without our written permission

We may suspend or terminate accounts that violate these rules, with or without notice.

5. Paid plans and billing

Picazo offers free and paid tiers. Paid subscriptions are billed through Stripe on a recurring basis (monthly or annually) until you cancel. Prices are shown at checkout. You can cancel any time from your account settings; cancellation takes effect at the end of the current billing period.

We do not offer refunds for partial billing periods, except where required by law. If you believe you were charged in error, email billing@picazo.io within 30 days.

New users may receive a free trial. If you don’t cancel before the trial ends, you’ll be downgraded to the free tier — we won’t auto-charge you without explicit consent.

6. Intellectual property

The Picazo name, logo, branding, software, templates, and original content (excluding Your Content) are owned by us and protected by copyright and trademark law. We grant you a limited, non-transferable license to use the Service as intended. We do not transfer any rights to the Picazo brand or underlying software.

Templates and stock assets included in the Service may be used in designs you create, subject to their individual licenses (which typically allow personal and commercial use but not resale of the asset itself).

7. Third-party services

The Service integrates with third parties including Google, GitHub, Microsoft, Stripe, Replicate, and OpenAI. Your use of those services is governed by their own terms and privacy policies. We’re not responsible for their acts or omissions.

8. Feedback

If you send us feedback, suggestions, or ideas, we may use them without obligation to you. You grant us a perpetual, irrevocable, royalty-free license to use such feedback however we choose.

9. Service availability

We do our best to keep Picazo running, but we can’t guarantee the Service will always be available or error-free. We may modify, suspend, or discontinue any feature at any time. For paid subscribers, we’ll provide reasonable notice of material changes that reduce functionality.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICAZO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

12. Indemnification

You agree to defend and indemnify Picazo against any claims, damages, or expenses arising out of (a) Your Content, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

13. Termination

You can stop using Picazo and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we decide to discontinue the Service. On termination, the licenses you granted us end, except as needed to complete transactions already in progress.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via email or in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in Delaware, unless you are in a jurisdiction where mandatory local law requires otherwise.
